Terms of Service
These terms apply to the use of Realply, a service provided by Advendo Media LLC, 530-B Harkle Road, Suite 100, Santa Fe, NM 87505, USA ("Realply", "we", "us"), by real estate agencies and their users ("Customer", "you"). A signed order form or agreement with us takes precedence over these terms where they differ.
1. The service
Realply connects to the WhatsApp Business number of a Customer's agents and helps them handle messages: it reads incoming messages, transcribes voice notes, translates, drafts replies and questions to other parties, keeps track of requests, and sends messages that the Customer has approved or has allowed to be sent automatically. We may improve and change the service over time.
2. Accounts
- You are responsible for your users, their login details, and everything done under your account.
- Tell us immediately at hello@realply.ai if you suspect unauthorised access.
3. Your responsibilities
- Consent. You only message people who have agreed to be contacted on WhatsApp, and you keep a record of that consent, as required by law and by WhatsApp's policies.
- WhatsApp and Meta. Your use of WhatsApp is also subject to Meta's WhatsApp Business terms and policies, including the Business and Commerce Policies. You are responsible for your own WhatsApp Business account and its payment to Meta.
- Review of AI drafts. AI-generated text can be wrong or incomplete. You remain responsible for every message sent from your number, including messages you allow to be sent automatically. Check drafts before approving them, especially facts, dates, prices and conditions.
- Lawful use. You do not use Realply for spam, unsolicited marketing, harassment, discrimination, or anything unlawful, and you do not try to break, overload or reverse-engineer the service.
- Your data. You have the right to process the personal data you bring into Realply, and you are the controller of that data.
4. AI output
Realply's drafts, translations, transcripts and summaries are generated with AI models and are provided to assist you. They are not legal, financial or tax advice. We design Realply so that sensitive topics (such as prices, offers, contracts, payments and legal questions) always require a person's approval, but we cannot guarantee that every AI output is accurate.
5. Data protection
We process personal data on your behalf as a processor, under our data processing agreement, which forms part of these terms. Our Privacy Policy describes the data we process and the providers we use.
6. Fees
Fees are set out in your order form or agreement. Unless agreed otherwise, fees are billed in advance and are non-refundable. Charges from Meta for WhatsApp messages are separate and paid by you to Meta. We may change fees with at least 30 days' notice, effective from your next billing period.
7. Pilots and trials
A free pilot or trial is provided as it is, may be limited in features or time, and may be ended by either party at any time.
8. Intellectual property
We own Realply and all rights in it. You own your data and the messages sent from your account. You give us the rights we need to process your data to provide the service. Suggestions you send us may be used to improve Realply without obligation.
9. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for this agreement.
10. Availability and support
We work to keep Realply available and to fix problems quickly, but we do not guarantee uninterrupted service. The service depends on third parties such as Meta's WhatsApp platform, which may change or limit features outside our control.
11. Disclaimers
Except as expressly stated in these terms, Realply is provided "as is" and "as available", without warranties of any kind, to the extent permitted by law.
12. Limitation of liability
To the extent permitted by law, neither party is liable for indirect or consequential losses, lost profits, lost revenue or lost data. Our total liability under these terms in any 12-month period is limited to the fees you paid us in that period. Nothing in these terms limits liability that cannot be limited by law.
13. Term and termination
- These terms apply for as long as you use Realply. Either party may end them as set out in your order form, or with 30 days' notice if there is none.
- We may suspend access immediately if your use breaks the law, these terms or WhatsApp's policies, or puts the service or others at risk.
- After termination you can ask for an export of your data within 30 days; we then delete it as described in the Privacy Policy.
14. Changes to these terms
We may update these terms. For significant changes we will notify you at least 30 days in advance. Continuing to use Realply after the change means you accept it.
15. Governing law
These terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict-of-law rules. This does not take away rights you have under mandatory consumer or data protection law where you are based.
